1. About Skillsnify

1.1 The Platform

Skillsnify Technologies ("Skillsnify", "we", "us", or "our") operates www.skillsnify.com and related digital services.

Skillsnify is a community and course platform for creators. The platform enables creators and instructors to publish and sell educational content, operate communities, offer learning experiences, and connect with students and other users.

Depending on the service being used, Skillsnify may provide:

paid and free courses;
paid and free communities;
recorded educational content;
course discussions;
community discussions;
creator and instructor profiles;
course and community discovery;
subscriptions;
one-time course or community payments;
trial offers;
certificates where the creator elects to provide them;
affiliate promotion and tracking;
creator dashboards;
sales and analytics information;
AI-powered creator tools;
AI landing-page generation;
AI advertising/advert creation tools;
AI course-outline generation;
payment processing;
creator payout functionality; and
other features introduced by Skillsnify from time to time.

1.3 Geographic Availability

Skillsnify is available to users in Africa and may also be accessed by users outside Africa.

Certain courses, payment methods, creator services, features, promotions, or other services may nevertheless be unavailable in particular countries or regions because of legal, regulatory, payment-provider, technical, or commercial restrictions.

2. Acceptance of These Terms

By accessing or using Skillsnify, creating an account, purchasing or enrolling in a course, joining a community, creating a course or community, becoming an instructor/creator, promoting a course as an affiliate, or otherwise using a Skillsnify service, you agree to these Terms.

If you do not agree to these Terms, you must not use Skillsnify.

These Terms constitute an agreement between you and Skillsnify Technologies.

3. Other Policies and Agreements

These Terms should be read together with applicable Skillsnify policies and agreements, including:

the Skillsnify Privacy Policy;
the Skillsnify Refund Policy;
the Skillsnify Community and Platform Policy;
creator/instructor terms;
affiliate terms;
acceptable-use rules;
intellectual-property/copyright procedures;
promotional terms; and
other policies displayed on the platform.

Those documents may form part of your agreement with Skillsnify.

If a specific service has additional terms, those additional terms apply to that service to the extent of any conflict.

4. Definitions

For these Terms:

4.1 "Skillsnify", "we", "us", or "our"

Means Skillsnify Technologies and, where applicable, its authorised representatives, personnel, contractors, and service providers.

4.2 "Platform"

Means the Skillsnify website, applications, software, systems, databases, interfaces, infrastructure, and related digital services.

4.3 "User"

Means any person who accesses or uses Skillsnify.

4.4 "Student" or "Learner"

Means a User who accesses, purchases, enrols in, or participates in a course or learning experience.

4.5 "Creator" or "Instructor"

Means a User authorised to create, publish, sell, manage, or deliver courses, communities, learning content, or other creator services through Skillsnify.

4.6 "Course"

Means an educational product, programme, class, lesson, module, workshop, training, or learning experience made available through Skillsnify.

4.7 "Community"

Means a Skillsnify community or creator-operated community space made available through the platform.

4.8 "Course Content"

Means videos, audio, text, images, documents, presentations, quizzes, assignments, exercises, links, recordings, software, files, and other materials forming part of a Course.

4.9 "User Content"

Means content submitted, uploaded, posted, transmitted, or otherwise made available by a User.

4.10 "Fees"

Means amounts payable for Courses, Communities, subscriptions, creator services, AI credits, or other paid Skillsnify services.

4.11 "AI Credits"

Means credits or usage units purchased or otherwise provided for use with Skillsnify's AI-powered creator features.

4.12 "Affiliate"

Means a User or third party authorised to promote eligible Courses or other eligible Skillsnify offerings through Skillsnify's affiliate programme.

4.13 "Third-Party Service"

Means a service provided by a party other than Skillsnify, including payment processors, hosting providers, analytics providers, video providers, communications providers, and external meeting platforms.

5. Eligibility and Age Requirement

5.1 Minimum Age

Skillsnify is an 18+ platform.

You must be at least 18 years old to create an account or use Skillsnify.

5.2 Minors

Persons under 18 are not permitted to create or use Skillsnify accounts.

Skillsnify does not intentionally provide accounts to minors.

If Skillsnify becomes aware that a person under 18 has created an account, Skillsnify may suspend or terminate that account and take appropriate steps consistent with applicable law and its Privacy Policy.

5.3 Authority to Contract

By using Skillsnify, you represent that:

you are at least 18 years old;
you have legal capacity to enter into these Terms; and
the information you provide is accurate.

If you use Skillsnify on behalf of a business or organisation, you represent that you have authority to bind that organisation where such authority is required.

6. User Accounts

6.1 Account Information

You must provide accurate, complete, and current information when creating an account.

You must not:

impersonate another person;
create an account using false identity information;
create an account for another person without authority;
provide misleading professional qualifications;
use fraudulent information; or
deliberately conceal information required for lawful verification.

6.2 Account Security

You are responsible for maintaining the security of:

your password;
authentication credentials;
verification codes;
devices used to access your account; and
other account-security information.

You must notify Skillsnify promptly if you believe your account has been compromised.

Unless Skillsnify expressly authorises it, you must not:

share your account;
sell your account;
rent your account;
transfer your account;
share paid Course or Community access; or
allow another person to use your credentials.

7. Student Terms

7.1 Student Responsibilities

Students are responsible for:

choosing Courses and Communities appropriate to their needs;
reviewing descriptions and pricing before purchase;
maintaining account security;
complying with Course and Community rules;
respecting instructors and other Users;
participating honestly;
submitting original work where required;
following applicable safety instructions;
complying with applicable laws; and
maintaining the equipment and internet connection necessary to access Skillsnify.

7.2 Course Information

Skillsnify may provide course descriptions, previews, creator profiles, ratings, reviews, and other information to assist Students in making purchasing decisions.

Students remain responsible for determining whether a Course or Community is suitable for their individual circumstances.

7.3 No Guaranteed Outcomes

Skillsnify does not guarantee that participating in a Course or Community will result in:

employment;
promotion;
increased income;
business success;
academic admission;
examination success;
professional licensing;
external certification;
investment returns;
customer acquisition;
career advancement; or
any other particular result.

8. Creator and Instructor Terms

8.1 Independent Creator Status

Unless Skillsnify has expressly entered into a separate written agreement with a Creator, a Creator is an independent creator and is not an employee, agent, partner, joint venturer, or legal representative of Skillsnify.

Creators must not represent themselves as employees or authorised legal representatives of Skillsnify unless expressly authorised.

8.2 Creator Responsibility

Creators are responsible for:

their Courses;
their Communities;
Course Content;
community content;
descriptions and claims;
pricing;
offers and promotions they control;
course structure;
teaching materials;
qualifications and representations;
student interactions;
external live sessions;
compliance with applicable law; and
maintaining the required standard of content.

8.3 Creator Pricing

Creators may set the prices for eligible Courses and Communities.

Subject to Skillsnify's available payment features, creators may choose among supported payment models, which may include:

one-time payments;
free access;
trials;
monthly payments; and
subscriptions.

Skillsnify may introduce, modify, or discontinue supported pricing models or payment features.

9. Courses and Communities

9.1 Free and Paid Offerings

Creators may choose to make Courses or Communities:

free;
paid;
subscription-based;
trial-based; or
available under another supported payment model.

9.2 Creator-Defined Pricing

The creator generally determines the price and commercial model of their Course or Community, subject to Skillsnify's platform requirements, applicable law, payment-provider rules, promotions, and other contractual terms.

9.3 Course and Community Access

Access is subject to the terms of the particular Course or Community, including:

payment status;
subscription status;
trial period;
course availability;
creator settings;
platform availability; and
Skillsnify policies.

Skillsnify does not guarantee that a Course or Community will remain available indefinitely.

9.4 Creator Changes

Creators may update, replace, expand, or otherwise modify their content.

Where changes materially affect an existing paid service, applicable consumer rights and Skillsnify's Refund Policy will apply.

10. One-to-One Live Sessions

10.1 External Delivery

Creators may offer one-to-one live sessions.

However, one-to-one live sessions are not held directly on the Skillsnify platform unless Skillsnify expressly introduces an on-platform live-session feature in the future.

Creators may publish dates or availability information through the relevant Skillsnify Community.

The actual live session may take place through an external meeting, communication, or conferencing service.

10.2 External Services

Students and Creators are responsible for complying with the terms and privacy policies of any external service used to conduct a live session.

10.3 Skillsnify's Role

Unless expressly agreed otherwise, Skillsnify does not control the content, conduct, recording, security, availability, or technical performance of an external live session.

11. Course Discussion Boards and Communities

11.1 No Private Instructor Chats

Skillsnify does not provide private chat functionality between Students and Instructors as a standard feature.

Communication may take place through:

Course discussion boards;
Community discussions;
comments; and
other features made available by Skillsnify.

11.2 Discussion Conduct

Users must communicate respectfully and must not use discussion areas for:

harassment;
threats;
discrimination;
spam;
scams;
unsolicited commercial solicitation;
doxxing;
distribution of unlawful material;
sexual harassment;
malicious software; or
other prohibited activity.

12. Instructor Content and Intellectual Property

12.1 Creator Ownership

Unless otherwise agreed, Creators retain ownership of intellectual property they lawfully own in their original Course Content and other User Content.

12.2 Licence to Skillsnify

By uploading or publishing content, the Creator grants Skillsnify a worldwide, non-exclusive, royalty-free licence, for the duration reasonably necessary to operate the relevant service, to:

host;
store;
reproduce;
encode;
technically process;
display;
transmit;
distribute to authorised Students;
create technical copies;
display previews;
create thumbnails;
promote the Course or Community;
advertise the Skillsnify platform;
provide customer support;
prevent fraud and abuse;
moderate content; and
operate, maintain, and improve the platform.

This licence does not transfer ownership of the Creator's underlying intellectual property to Skillsnify.

12.3 Creator Warranty

By publishing content, a Creator represents that they have the rights and permissions necessary to provide the content to Skillsnify and make it available under these Terms.

Creators must not upload or publish:

stolen Courses;
pirated materials;
unauthorised recordings;
copyrighted material without appropriate rights;
confidential third-party information;
personal data without lawful authority;
malware;
unlawful material; or
material that infringes third-party rights.

13. Student Licence to Course Content

13.1 Limited Personal Licence

Unless otherwise stated, purchasing or enrolling in a Course grants the Student a limited, personal, non-exclusive, non-transferable licence to access and use the Course Content for permitted educational purposes.

13.2 No Resale or Redistribution

Students must not, without express permission:

copy a Course;
resell a Course;
redistribute Course Content;
upload Course Content to another website;
publicly display paid Course Content;
share account access;
record classes for redistribution;
commercially exploit protected Course Content;
remove copyright notices; or
circumvent technical restrictions.

14. Certificates

14.1 Creator Choice

Skillsnify may provide certificate functionality.

A Creator may decide whether a particular Course includes a certificate.

Not every Course is required to provide a certificate.

14.2 Nature of Certificates

Unless expressly stated otherwise, a Skillsnify certificate is evidence of completion of the relevant Skillsnify Course requirements and does not automatically constitute:

a university degree;
a government qualification;
a professional licence;
statutory accreditation;
professional-body accreditation; or
a guarantee of employment.

14.3 External Recognition

Where a Course has genuine third-party accreditation or recognition, the relevant accreditation should be accurately identified.

Skillsnify and Creators must not falsely represent a Course as externally accredited.

15. Payments

15.1 Payment Processor

Skillsnify uses Flutterwave for payment processing.

Users may be required to comply with Flutterwave's applicable terms and payment requirements.

15.2 Course and Community Payments

Payments may include:

one-time purchases;
monthly subscriptions;
trials;
community subscriptions;
Course subscriptions;
other recurring payments; and
other payment models introduced by Skillsnify.

15.3 Payment Authorisation

By initiating a transaction, you authorise the applicable payment provider to process the payment according to the selected payment method and applicable payment terms.

15.4 Taxes and Charges

Prices displayed by Skillsnify may be subject to applicable taxes, transaction charges, currency conversion charges, or other legally applicable charges.

The applicable amount payable will be presented before or during the transaction where reasonably practicable.

16. Refunds

Refunds are governed by Skillsnify's separate Refund Policy.

The Refund Policy forms part of these Terms.

Nothing in the Refund Policy or these Terms is intended to remove a mandatory consumer right that cannot lawfully be excluded.

17. Creator Revenue and Commission

17.1 Skillsnify Commission

Skillsnify generates revenue by taking a commission from eligible Course and Community sales.

The applicable commission, fees, deductions, or revenue-share arrangements may be communicated to Creators through:

the Creator dashboard;
Creator terms;
pricing information;
onboarding documentation; or
another applicable agreement.

17.2 Payment Processing and Other Deductions

Amounts payable to a Creator may be affected by:

Skillsnify's commission;
payment-processing fees;
refunds;
chargebacks;
taxes or required withholding;
promotional discounts where applicable;
fraud adjustments;
currency conversion;
other transaction costs; and
lawful adjustments.

The applicable Creator payment statement or dashboard may provide further information.

18. Creator Payouts

18.1 Payout Requests

Creators may request payouts through their Skillsnify dashboard, subject to applicable payout requirements.

18.2 Processing Time

Creator payout requests are generally expected to reach the Creator's nominated bank account within 3–5 working days after Skillsnify processes the payout request.

This is an expected processing period and not a guarantee that every transfer will be completed within that period.

Banking delays, public holidays, payment-provider issues, verification requirements, fraud checks, incorrect bank details, and other circumstances may affect the timing.

18.3 Payout Verification

Skillsnify may delay, restrict, or reject a payout where reasonably necessary to investigate:

fraud;
chargebacks;
suspicious transactions;
identity issues;
incorrect payout information;
policy violations;
legal requirements; or
payment-provider requirements.

19. Chargebacks and Payment Disputes

19.1 Investigation

Skillsnify investigates chargebacks and may coordinate with Flutterwave and other relevant payment or financial-service providers.

19.2 Creator Responsibility

Where a chargeback relates to a Creator's Course, Community, conduct, content, or transaction, Skillsnify may investigate the circumstances and make appropriate adjustments in accordance with applicable agreements and law.

19.3 Fraudulent Chargebacks

Users must not initiate fraudulent or knowingly false chargebacks.

Skillsnify may provide transaction information to payment providers or other authorised parties where legally permitted.

20. Affiliate Programme

20.1 Affiliate Participation

Skillsnify may operate an affiliate programme through which approved affiliates can promote eligible Courses.

20.2 Tracking

Affiliates may receive access to a separate affiliate dashboard allowing them to view relevant information such as:

clicks;
conversions;
sales;
commissions;
promotional performance; and
other available analytics.

20.3 Affiliate Conduct

Affiliates must not:

make false claims;
misrepresent Course content;
impersonate Skillsnify or a Creator;
engage in deceptive advertising;
use spam;
engage in fraudulent click generation;
manipulate tracking;
use stolen payment information;
make unauthorised guarantees;
violate applicable advertising law; or
otherwise abuse the affiliate programme.

20.4 Affiliate Commission

Affiliate commissions are subject to the applicable affiliate terms and programme rules.

Skillsnify may reverse or withhold commissions associated with:

refunds;
chargebacks;
fraud;
cancelled transactions;
tracking manipulation; or
other invalid transactions.

21. AI-Powered Features

Skillsnify may provide AI-powered tools including:

AI landing-page generation;
AI advertising/advert generation;
AI course-outline generation; and
additional AI features introduced in the future.

21.1 AI Output

AI-generated content may be inaccurate, incomplete, outdated, biased, unsuitable, or contain errors.

Users are responsible for reviewing AI-generated content before publishing, selling, advertising, or relying on it.

21.2 Creator Responsibility

A Creator who uses AI-generated material remains responsible for:

accuracy;
legality;
originality;
intellectual-property compliance;
advertising claims;
course quality;
factual verification; and
final published content.

21.3 No Guarantee

Skillsnify does not guarantee that AI-generated outputs will:

be error-free;
be unique;
be commercially successful;
be suitable for a particular audience;
comply automatically with advertising laws;
avoid third-party intellectual-property rights; or
produce a particular result.

22. AI Credits

Skillsnify may generate revenue from the sale of AI credit top-ups.

22.1 Credit Use

AI Credits may be used only for eligible Skillsnify AI features and according to the applicable credit rates and conditions displayed by Skillsnify.

22.2 No Cash Value

Unless required by law or expressly stated otherwise, AI Credits:

are not legal tender;
are not cash;
are not transferable;
cannot be sold to another User; and
do not represent a bank deposit.

22.3 Expiry

AI Credits do not roll over indefinitely. All Credits expire, however they were obtained.

Credits you buy, and any welcome or promotional Credits, are held in a single balance that expires 30 days after your most recent top-up. Topping up extends the whole of that balance, including Credits already in it.

Credits included with a verification subscription are separate. They reset at the end of each monthly billing period and do not accumulate from one period to the next.

Unused Credits lapse on expiry and are not refundable, except where a refund is required by law.

Your current balance and its expiry date are shown on the AI credits page in your dashboard.

22.4 Changes to AI Credit Features

Skillsnify may change AI features, credit requirements, available models, or credit pricing where reasonably necessary to operate the service.

Mandatory consumer rights remain unaffected.

23. Platform Review and Course Quality

23.1 Review of Courses and Communities

Skillsnify may review Courses and Communities before publication and/or periodically after publication.

Reviews may assess matters including:

quality;
completeness;
accuracy;
safety;
legality;
intellectual-property concerns;
misleading claims;
inappropriate content;
user reports;
platform standards; and
compliance with Skillsnify policies.

23.2 No Guarantee of Endorsement

A Course or Community being accepted, reviewed, listed, or made available on Skillsnify does not necessarily mean that Skillsnify endorses every statement made by the Creator.

23.3 Ongoing Review

Skillsnify may periodically review Courses and Communities to maintain a high standard of material on the platform.

Skillsnify may request changes or take enforcement action where content no longer meets applicable requirements.

24. Content Moderation and Enforcement

Skillsnify may:

review User Content;
receive reports;
investigate complaints;
use automated moderation tools;
restrict content;
remove content;
suspend Courses or Communities;
suspend accounts;
terminate accounts;
restrict functionality; or
take other proportionate measures

where reasonably necessary to protect Users, the platform, third parties, or comply with law.

Skillsnify does not guarantee that every violation will be identified immediately.

25. Prohibited Conduct

Users must not use Skillsnify to:

commit fraud;
impersonate another person;
create fraudulent accounts;
manipulate reviews or ratings;
manipulate affiliate tracking;
purchase goods or services using stolen payment credentials;
share paid account access;
pirate or redistribute Course Content;
harass or threaten another User;
engage in unlawful discrimination;
sexually harass another User;
exploit minors;
distribute malware;
attempt unauthorised access;
interfere with platform operations;
scrape or harvest platform data without authorisation;
reverse engineer the platform except where legally permitted;
circumvent security or access controls;
upload unlawful content;
infringe intellectual-property rights;
publish knowingly fraudulent or materially misleading information;
manipulate platform rankings;
send spam;
conduct deceptive advertising;
misuse promotional codes;
abuse AI Credits;
engage in fraudulent chargebacks;
use Skillsnify to facilitate unlawful transactions;
disclose another person's private information without lawful authority;
upload malicious files or code;
facilitate activities that could reasonably cause serious harm; or
assist another person in carrying out prohibited conduct.

26. Community Standards

Users must help maintain a safe, professional, educational environment.

Content may be restricted where it involves:

threats;
targeted harassment;
hate-based abuse;
sexual harassment;
exploitation;
fraud;
scams;
doxxing;
malicious activity;
illegal activity;
spam;
impersonation;
coordinated manipulation;
non-consensual disclosure of private information; or
other serious misconduct.

Skillsnify may take account of context when assessing reported content.

27. Reviews, Ratings and Testimonials

Users may be permitted to submit ratings, reviews, testimonials, comments, and feedback.

Reviews must reflect genuine experiences.

Users must not:

submit fake reviews;
purchase fake reviews;
coordinate fraudulent ratings;
threaten others for reviews;
manipulate ratings;
impersonate another reviewer;
disclose private information;
use reviews for unrelated advertising; or
knowingly publish materially false claims.

Skillsnify may remove or restrict reviews that violate applicable rules.

28. Safety and Practical Courses

Some Courses may involve physical, technical, professional, or potentially hazardous activities.

Examples include:

construction;
electrical work;
machinery;
tools;
chemicals;
driving;
physical activity;
food preparation;
health-related activities; and
other potentially hazardous activities.

Creators are responsible for providing appropriate safety information relevant to their Courses.

Students must follow applicable safety instructions and laws.

Completing an online Course does not automatically authorise a Student to perform a regulated activity or operate specialised equipment.

29. Professional and Specialised Information

Courses may address subjects including:

law;
medicine;
health;
psychology;
finance;
accounting;
business;
immigration;
technology;
engineering;
construction; and
other specialised areas.

Unless expressly stated otherwise, Skillsnify Courses are educational resources and are not a substitute for professional advice.

Users should seek appropriately qualified professional advice where necessary.

30. External Links and Services

Skillsnify may link to or integrate with third-party websites and services.

Skillsnify does not control every third-party service and is not responsible for the third party's:

availability;
security;
content;
privacy practices;
terms;
performance; or
actions.

Users should review third-party terms before using third-party services.

31. Platform Availability

Skillsnify seeks to maintain reliable access but does not guarantee uninterrupted or error-free operation.

The platform may be temporarily unavailable because of:

maintenance;
upgrades;
technical failures;
internet outages;
telecommunications failures;
payment-provider failures;
hosting failures;
cyber incidents;
security measures;
natural disasters;
government actions;
force majeure events; or
other circumstances beyond Skillsnify's reasonable control.

32. Intellectual Property of Skillsnify

Skillsnify owns or licences rights in:

the Skillsnify name;
trademarks;
logos;
branding;
website design;
software;
platform interfaces;
databases;
platform-generated materials;
original Skillsnify content;
graphics; and
other proprietary platform elements.

Except as expressly permitted, Users must not copy, reproduce, distribute, modify, sell, lease, or commercially exploit Skillsnify's protected materials.

33. Copyright and Intellectual-Property Complaints

Skillsnify respects intellectual-property rights.

A rights holder may submit an infringement complaint through Skillsnify's designated legal or support channel.

A complaint should provide sufficient information to identify:

the protected work;
the allegedly infringing material;
the rights holder or authorised representative;
the relevant platform location;
contact information; and
supporting information reasonably required to investigate the complaint.

Skillsnify may restrict or remove content where reasonably necessary while investigating a complaint.

34. User Content

Users remain responsible for User Content they submit.

By submitting User Content, you grant Skillsnify the permissions reasonably necessary to operate the platform, including hosting, storing, displaying, transmitting, processing, moderating, and making the content available according to your selected platform settings.

You must have the rights and permissions necessary to grant those permissions.

35. Privacy and Data Protection

Skillsnify processes personal data in accordance with its Privacy Policy and applicable data-protection laws.

Where applicable, this includes Nigerian data-protection requirements and other mandatory privacy laws that apply to users or transactions.

Skillsnify may process information necessary to:

create accounts;
provide Courses and Communities;
process payments;
calculate commissions;
process creator payouts;
operate affiliate tracking;
provide AI services;
detect fraud;
moderate content;
provide support;
improve the platform;
maintain security; and
comply with legal obligations.

The Skillsnify Privacy Policy contains the detailed information required concerning personal-data processing.

36. Security

Users must not attempt to compromise Skillsnify's security.

Prohibited activities include:

credential theft;
unauthorised access;
brute-force attacks;
malware;
denial-of-service attacks;
unauthorised vulnerability exploitation;
bypassing authentication;
interfering with security controls; and
accessing another person's account without authorisation.

Security vulnerabilities should be reported responsibly through Skillsnify's designated security contact.

37. Fraud Prevention

Skillsnify may use automated and manual systems to identify:

suspicious transactions;
stolen payment credentials;
account takeover;
multiple fraudulent accounts;
promotional abuse;
affiliate manipulation;
suspicious Creator activity;
fake reviews;
chargeback abuse; and
other fraudulent behaviour.

Skillsnify may temporarily restrict transactions or accounts while investigating suspected fraud.

38. Account Suspension and Termination

Skillsnify may suspend or terminate an account where reasonably necessary because of:

breach of these Terms;
fraud;
abuse;
unlawful activity;
payment fraud;
intellectual-property infringement;
harassment;
security threats;
repeated policy violations;
platform manipulation;
serious safety concerns;
legal requirements; or
other legitimate platform-protection reasons.

Where appropriate, Skillsnify may provide notice and an opportunity to resolve the issue.

Skillsnify may take immediate action where necessary to protect Users, third parties, the platform, or comply with law.

39. Consequences of Termination

Following termination:

account access may cease;
Course or Community access may cease where legally permitted;
Creator publishing privileges may cease;
affiliate privileges may cease;
pending transactions may be reviewed;
User Content may be removed where permitted;
unpaid amounts may remain due;
payout amounts may be subject to investigation; and
provisions intended to survive termination will remain effective.

Termination does not automatically remove rights or obligations that arose before termination.

40. No Guarantee of Employment, Income, or Success

Skillsnify does not guarantee that use of the platform or completion of any Course will result in:

employment;
income;
promotion;
business growth;
professional success;
investment returns;
freelancing opportunities;
customers;
clients; or
any specific outcome.

Any Creator claims concerning expected results must be understood in the context of the Creator's own statements and applicable evidence.

41. Disclaimers

To the maximum extent permitted by applicable law, Skillsnify does not guarantee that:

every Course will be accurate;
every Creator will meet every User's expectations;
every Course will remain current;
the platform will be uninterrupted;
AI-generated output will be accurate;
third-party services will remain available;
Courses will produce a particular result;
the platform will be completely free of technical errors; or
all User Content will be lawful or error-free before it is reviewed.

Nothing in these Terms excludes or restricts liability or consumer rights that cannot legally be excluded or restricted.

42. Limitation of Liability

To the maximum extent permitted by applicable law, Skillsnify will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of the platform where such limitation is legally permitted.

This may include, where legally permissible:

loss of profits;
loss of business opportunities;
loss of anticipated savings;
loss of reputation;
loss of data;
loss of employment opportunities; or
business interruption.

Nothing in these Terms excludes liability that cannot legally be excluded, including liability that applicable law requires a business to retain.

43. Indemnification

To the extent permitted by law, a User may be responsible for losses reasonably incurred by Skillsnify arising from the User's:

breach of these Terms;
unlawful conduct;
fraud;
infringement of third-party rights;
misuse of the platform; or
violation of applicable law.

This provision does not require a User to indemnify Skillsnify for liability that cannot legally be transferred or for losses caused by Skillsnify's own unlawful conduct.

44. Creator-Specific Indemnification

Where permitted by law, a Creator may be responsible for claims arising from:

unlawful Course Content;
copyright infringement;
unauthorised third-party material;
fraudulent or misleading claims;
unlawful services;
false professional qualifications;
violation of Student rights;
violation of applicable advertising laws; or
breach of the Creator's obligations.

45. Disputes Between Students and Creators

Where a dispute arises between a Student and Creator, the parties should first attempt to resolve the matter through the Skillsnify support or complaints process.

Skillsnify may facilitate communication or investigate platform-policy violations.

Skillsnify does not automatically act as the legal representative, arbitrator, or court for either party.

Skillsnify may take platform action where the dispute involves a violation of Skillsnify rules.

46. Complaints

Users may submit complaints through Skillsnify's designated support or complaints channels.

A complaint should, where possible, include:

account information;
relevant Course or Community;
transaction information;
description of the issue;
supporting evidence; and
requested resolution.

Skillsnify will seek to handle complaints fairly and within a reasonable timeframe.

Mandatory rights to make complaints to relevant regulators or pursue lawful remedies are unaffected.

47. Governing Law

Subject to mandatory laws applicable to a particular User or transaction, these Terms are governed by the laws of the Federal Republic of Nigeria.

Where mandatory consumer-protection or other laws in another jurisdiction apply to a User, nothing in these Terms is intended to remove rights that cannot lawfully be excluded.

48. Dispute Resolution

The parties should first attempt to resolve disputes through good-faith communication.

Where appropriate, disputes may proceed through:

negotiation;
internal complaints handling;
mediation;
alternative dispute resolution;
applicable regulatory complaint mechanisms; or
court proceedings.

Nothing in these Terms prevents a User from exercising a mandatory statutory right.

49. Changes to the Terms

Skillsnify may update these Terms from time to time.

Where a change is material, Skillsnify may provide reasonable notice through:

email;
account notifications;
platform notices;
website notices; or
another appropriate communication method.

The updated Terms will state their effective date.

Where legally permitted, continued use of Skillsnify after the effective date constitutes acceptance of the updated Terms.

50. Severability

If a provision is found to be unlawful, invalid, or unenforceable, it will be modified or removed only to the extent necessary.

The remaining provisions remain effective.

51. No Waiver

Failure by Skillsnify to enforce a provision immediately does not constitute a waiver of the right to enforce that provision later.

52. Assignment

Users may not transfer their rights or obligations under these Terms without Skillsnify's consent where such consent is legally required.

Skillsnify may transfer or assign its rights and obligations in connection with:

restructuring;
merger;
acquisition;
sale of assets;
financing;
corporate reorganisation; or
other legitimate business transactions,

subject to applicable law.

53. Force Majeure

Skillsnify is not responsible for delays or failures caused by circumstances reasonably beyond its control, including:

natural disasters;
war;
terrorism;
civil unrest;
governmental action;
epidemics or pandemics;
telecommunications failure;
internet infrastructure failure;
power failure;
cyberattacks;
payment-provider failures;
labour disruptions; or
other extraordinary circumstances.

Mandatory consumer rights remain unaffected.

54. Notices

Skillsnify may provide notices through:

email;
platform notifications;
account notifications;
website notices;
SMS where appropriate; or
other legally permitted methods.

Users are responsible for keeping their account information current.

55. Electronic Agreement

Where permitted by law, electronic acceptance of these Terms constitutes valid acceptance.

Skillsnify may retain electronic records of acceptance, transactions, communications, and other relevant activity.

56. Taxes

Users are responsible for taxes arising from their activities on Skillsnify, except where Skillsnify is legally required to collect, withhold, or remit taxes.

Creators are responsible for their own tax obligations relating to income earned through Skillsnify, subject to any applicable withholding or reporting obligations imposed on Skillsnify.

57. Business and Institutional Users

Businesses, schools, organisations, employers, NGOs, government organisations, and other institutions may use Skillsnify subject to additional terms where applicable.

Skillsnify may enter separate agreements governing institutional or enterprise use.

58. Advertising

Skillsnify may display advertisements or promotional materials.

Creators and advertisers are responsible for ensuring their advertising claims are accurate and lawful.

Skillsnify may restrict or remove advertisements that violate platform standards or applicable law.

59. Search, Ranking, and Recommendations

Skillsnify may rank, recommend, or display Courses and Communities based on factors including:

relevance;
course information;
engagement;
ratings;
reviews;
Creator activity;
course quality indicators;
availability;
user preferences;
search activity;
popularity;
commercial arrangements; and
other platform factors.

Ranking and recommendation systems may change over time.

Skillsnify does not guarantee that a particular Course or Community will appear in search results or recommendations.

60. Confidentiality

Users must not disclose confidential information belonging to Skillsnify, another User, a Creator, a business, a client, or another third party without lawful authority.

61. Survival

Provisions concerning:

intellectual property;
payments;
outstanding obligations;
confidentiality;
liability;
indemnification;
dispute resolution;
governing law;
restrictions on use;
User Content; and
provisions intended by their nature to survive

will survive termination where legally applicable.

62. Entire Agreement

These Terms, together with applicable Skillsnify policies, agreements, and service-specific terms, constitute the agreement between you and Skillsnify concerning your use of the relevant Skillsnify services.

63. Relationship Between Skillsnify and Users

Nothing in these Terms creates a:

partnership;
joint venture;
employment relationship;
fiduciary relationship;
agency relationship; or
franchise relationship

between Skillsnify and a User unless expressly agreed in writing.

Creators are independent creators unless separately contracted by Skillsnify.

64. User Acknowledgement

By using Skillsnify, you acknowledge that:

you are at least 18 years old;
you have read these Terms;
you agree to comply with them;
you are responsible for your conduct on the platform;
Creators are responsible for their Courses, Communities, and content;
Creators generally set their own prices and payment models;
Skillsnify may earn commission from eligible sales;
Skillsnify may generate revenue from AI Credit purchases;
Flutterwave processes Skillsnify payments;
Creator payout requests are generally processed within 3–5 working days after processing, subject to applicable conditions and delays;
Skillsnify may review Courses and Communities;
Skillsnify may moderate, restrict, suspend, or remove content or accounts where permitted;
Skillsnify certificates are available only where the relevant Creator elects to provide them;
one-to-one live sessions offered by Creators are not held on the Skillsnify platform unless Skillsnify expressly introduces that feature;
private instructor chat is not a standard Skillsnify feature;
AI-generated output must be reviewed before reliance or publication;
the Privacy Policy governs personal-data processing;
the Refund Policy governs refunds;
additional policies may apply to particular services; and
mandatory rights provided by applicable law are not removed by these Terms.
